IFC, a member of the World Bank Group, announces the sale of certain common shares of Sama Resources Inc..
On December 5, 2016 IFC sold, and disposed of ownership and control over, a total of 370,000 common shares of Sama at an average price of CDN$0.10 through the facilities of the TSX Venture Exchange for total gross proceeds of CDN$37,000. Then, on January 20, 2017, IFC sold, and disposed of ownership and control over, a total of 178,000 common shares of Sama at an average price of CDN$0.085 through the facilities of the TSX Venture Exchange for total gross proceeds of CDN$15,130. Following on January 25, 2017 IFC sold, and disposed of ownership and control over, a total of 257,000 common shares of Sama at an average price of CDN$0.0871 through the facilities of the TSX Venture Exchange for total gross proceeds of CDN$22,384.70. Then on January 26, 2017 IFC sold, and disposed of ownership and control over, a total of 585,000 common shares of Sama at an average price of CDN$0.0850 through the facilities of the TSX Venture Exchange for total gross proceeds of CDN$49,725. Then January 27, 2017, IFC sold, and disposed of ownership and control over, a total of 8,427,000 common shares of Sama at an average price of CDN$0.081 through the facilities of the TSX Venture Exchange for total gross proceeds of CDN$681,744.30. Subsequently, on January 30, 2017, IFC sold, and disposed of ownership and control over, a total of 2,630,163 common shares of Sama at an average price of CDN$0.084 through the facilities of the TSX Venture Exchange for total gross proceeds of CDN$220,114.64 (collectively, the Sold Shares).
The 12,447,163 Sold Shares represented, respectively, approximately 10.8% of the total issued and outstanding common shares of Sama assuming 114,905,287 common shares of Sama are outstanding. The Sold Shares were sold for a total gross proceeds of CDN$1,026,098.64.
IFC previously held 12,447,163 common shares representing approximately 10.8% of the total issued and outstanding common shares of Sama, or 12.8% assuming the exercise of all 2,590,909 warrants held by IFC. Following the sale of the Sold Shares, IFC holds no common shares of Sama and, assuming the exercise of IFC's remaining 2,590,909 warrants which are due to expire on June 19, 2018, IFC will hold will or 2.2% of the total issued and outstanding common share of Sama.
IFC executed these transactions as part of its regular portfolio management. It will maintain its remaining holdings in Sama for investment purposes and may, in the future, take such actions in respect of its holdings as it deems appropriate in light of the circumstances then existing.
