DXC Technology Prices Senior Notes Offering

TYSONS, Va.--(BUSINESS WIRE)--DXC Technology Company (NYSE: DXC) today announced the pricing of an offering of £250 million aggregate principal amount of its 2.750% Senior Notes due 2025 (the “Notes”), priced at 99.528% of the aggregate principal amount. The offering is being made through an underwriting syndicate led by Lloyds Bank plc and Merrill Lynch International, as representatives of the underwriters. DXC has applied to list the Notes on the New York Stock Exchange. The issuance of the Notes is expected to close on or about March 15, 2018, subject to customary closing conditions.

DXC intends to use proceeds from the offering, after the payment of underwriting discounts and other fees and expenses, to repay a portion of the £287 million aggregate principal amount of outstanding borrowings under its revolving credit facility, however, depending on prevailing interest rates and other market conditions, DXC may choose to use the net proceeds for working capital and general corporate purposes, including, but not limited to, the repayment of other outstanding indebtedness.
